Terms of Service

1. Scope
These Terms of Service govern the use of the software-as-a-service solution "DevFlow", provided by DevFlow Software, Anita Faerber, Jacob-Pins-Weg 16, 33100 Paderborn, Germany.
Deviating or supplementary terms of the Customer shall only become part of the contract if the Provider has expressly agreed in writing.
2. Subject Matter
The Provider makes available a web-based application for time tracking, project management, and AI-powered software development as SaaS, including:
- Time tracking and timer functions
- Project and flow management
- Kanban board and release management
- Calendar integration
- AI-powered description generation (agent system)
- MCP server integration
- Organization and team management
- Jira synchronization
- Dashboard and statistics
The exact scope of services depends on the plan selected by the Customer.
3. Contract Formation
The Customer submits an offer by registering and selecting a plan. The contract is concluded upon confirmation by email or activation of access.
4. Availability
The Provider aims for 99.5% annual average availability. Scheduled maintenance (announced 48h in advance) and disruptions beyond the Provider's control are excluded.
5. Fees and Payment
Prices are as displayed on the website (including VAT where applicable). Billing occurs monthly or annually in advance via Stripe. Price changes are communicated 30 days in advance — the Customer may terminate at the time of the price change.
6. Term and Termination
The contract is for an indefinite period. Monthly plans: 14 days' notice. Annual plans: 30 days' notice. Termination is possible via:
- The cancellation button on the website
- Email to info@dev-flow.tech
- Account management within the Service
After termination, data is available for download for 30 days, then deleted (unless statutory retention applies).
7. Intellectual Property
The Provider grants a non-exclusive, non-transferable right to use the Service during the contract. All IP rights remain with the Provider. Customer data remains the Customer's property.
8. Customer Obligations
The Customer shall keep credentials confidential, not use the Service unlawfully, and inform the Provider of security incidents. The Customer is responsible for all activity under their account.
9. Data Protection
Personal data is processed per our Privacy Policy. For processing third-party data, a Data Processing Agreement (DPA) is available.
10. Warranty
The Provider warrants that the Service substantially conforms to the description. Defects must be reported promptly. The Provider will remedy defects within a reasonable period.
11. Liability
Unlimited liability: For intent, gross negligence, injury to life/body/health, Product Liability Act, and guarantees.
Slight negligence: Only for breach of cardinal obligations, limited to foreseeable contract-typical damage and capped at 12 months' fees (minimum EUR 500).
12. Right of Withdrawal (Consumers)
Consumers may withdraw within 14 days without reason by sending a clear statement to info@dev-flow.tech. If the service began during the withdrawal period, a proportionate amount is due.
13. Changes to Terms
Changes are communicated 30 days in advance via email. If the Customer does not object within 30 days, the amended terms are deemed accepted.
14. Final Provisions
German law applies (excluding CISG). For businesses, the place of jurisdiction is Paderborn, Germany. For consumers, statutory jurisdiction applies. If individual provisions are invalid, the remaining provisions remain unaffected.
The legally binding version of these Terms of Service is the German version (AGB).
